Terms of sale and delivery for the Giftrix concept – Huuray A/S

1. Scope of application

1.1 These terms of sale and delivery apply between Huuray A/S and corporate customers regarding the purchase of products and gift vouchers from the Giftrix concept.

2. Basis for the agreement

2.1 Together with Huuray A/S’s offers and order confirmations, these terms and conditions form the basis for the agreement on the delivery of products and gift vouchers regarding Giftrix, hereinafter referred to as “the customer”. Purchase conditions specified by the customer, either on order forms or otherwise provided to Huuray A/S, shall not form part of the basis of the agreement.

2.2 Only changes or additions to this contractual basis agreed in writing shall be binding on the parties.

3. Products and Services

3.1 Huuray A/S will deliver new products to the customer that fulfil the requirements of Danish law at the time of delivery.

3.2 Likewise, the additional services sold and provided by Huuray A/S fulfil the requirements of Danish law at the time of delivery.

3.3 Huuray A/S accepts no liability for loss or damage resulting from use outside Denmark or for purposes for which they are not intended. The customer must indemnify Huuray A/S for such loss or damage.

3.4 Products and services are intended as business gifts for employees and may not be resold by the customer.

4. Prices and Payment

4.1 The prices are in accordance with the Huuray A/S price list applicable at the time of the order confirmation, unless otherwise agreed. All prices are exclusive of VAT.

4.2 The standard payment term is net 30 days for invoice purchases. A prerequisite for purchase on invoice is approval in our credit rating with Atradius. If not, an invoice will be sent for prepayment. Invoices are sent via email.

5. Delay in Payment

5.1 If payment is not made, Huuray A/S reserves the right to cancel the sale or demand prepayment for future deliveries.

6. Offers, Orders and Order Confirmations

6.1 Offers from Huuray A/S are valid for 30 days unless otherwise stated.

6.2 Huuray A/S will confirm or reject orders within 3 working days. Any order changes require the written approval of Huuray A/S.

6.3 If there are discrepancies between the order confirmation and the customer’s order, this must be notified to Huuray A/S within 3 days.

7. Delivery

7.1 Huuray A/S will make delivery directly from its own warehouse and from subcontractors.

7.2 The agreed delivery time is stated in the order confirmation.

7.3 In the case of direct delivery/private or parcel shop, the gift will be delivered in the original packaging.

7.3 Giftrix Gift Vouchers can be sent electronically or delivered as physical gift vouchers with individual codes.

8. Expected Delay

8.1 Should delays occur, Huuray A/S will inform the customer of the expected new delivery time. Huuray A/S is not liable for losses resulting from delays.

9. Warranty

9.1 Huuray A/S offers a 12-month warranty against material defects, but does not cover wear parts or damage caused by improper use. The gifts are not covered by the Danish Sale of Goods Act (consumer purchases).

9.2 The return of defective goods can be agreed with Huuray customer service.

9.3 Goods/Gifts must be returned in their original packaging and sent at the expense and risk of the ordering party, unless otherwise agreed.

10. Liability

10.1 The parties are liable in accordance with applicable Danish law. Huuray A/S is not liable for indirect loss unless it is due to intent or gross negligence. 10.2 Huuray A/S assumes product liability in accordance with Danish law.

11. Intellectual property rights

11.1 All intellectual property rights associated with products and services, including patents, designs, trademarks and copyrights, belong to Huuray A/S.

12. Confidentiality obligation

12.1 The customer undertakes not to disclose confidential information from Huuray A/S. This obligation shall also apply after the end of the co-operation without any time limit.

13. Choice of law and jurisdiction

13.1 All agreements are subject to Danish law and any disputes must be settled by the Danish courts.
